JUNE 2003 - River Capital forms MasterWorks Décor, Inc. to acquire the assets of The Tree Factory, Inc.

River Capital, an Atlanta-based private investment firm, has announced its funding of MasterWorks Décor, Inc., which was formed to acquire substantially all of the assets of The Tree Factory, Inc., a Charlotte, North Carolina designer and assembler of botanical décor. The purchase price was undisclosed. The Company offers one of the broadest lines of fine quality silk trees, plants and floral arrangements for sale into the department store, home décor, home improvement, office supply, gift and furniture markets. The Company is the partner of choice for many leading retail markets throughout the United States. River Capital provided subordinated debt and invested in the common stock of MasterWorks Decor.

River Capital is one of the oldest firms of its type in the Southeast and has acquired companies in a broad range of industries with combined annual revenues in excess of $600 million. River Capital primarily invests in light manufacturing, distribution and select service companies with purchase prices of $10 million to $50 million. For add-on acquisition candidates, the firm will consider companies with a purchase price less than $10 million.
